An aircraft can be physically delivered before it is ready for the lessee’s intended work. The distinction becomes expensive when rent, insurance, maintenance responsibility and customer commitments begin on different dates. Negotiating commencement therefore means agreeing which event starts each obligation and which evidence establishes that event.

Draw a calendar of obligations

Start with the proposed delivery sequence and place each payment or responsibility on it. Include inspection, technical acceptance, physical handover, positioning, registration work and entry into the intended operation. The parties may legitimately choose different commencement points, but the financial model must use the actual allocation. Consider a hypothetical aircraft accepted at the seller’s base while operating preparation continues elsewhere. If rent begins at acceptance, the operator needs funding for an interval with no customer receipts. Calling that interval mobilisation does not remove its cash requirement. The commercial paper should show who carries it and how delays change the amount.

Define acceptance evidence

Acceptance should refer to an agreed technical and documentary package rather than a general impression that the aircraft has arrived. Identify the inspection process, required records and treatment of outstanding discrepancies. FAA maintenance-record guidance provides a technical reference within its US scope; the transaction needs its own applicable standards. A delivery receipt, technical release and lease acceptance certificate can serve different purposes. Avoid using one signature to imply every condition has been satisfied unless the documents deliberately create that result and the responsible advisers have reviewed it. Signatories need both authority and access to the information their signature confirms.

Allocate delay explicitly

Separate a delay caused by an unresolved delivery defect from one caused by the lessee’s preparations. Agree notification, evidence and the commercial consequence of each. This allows the owner to understand its exposure without assuming every postponement excuses payment. A long-stop provision also needs a practical outcome: revised delivery, termination or another agreed remedy. The calculation should include deposits already paid, work commissioned and any positioning commitment. These are negotiation questions, not standard legal conclusions. Their value is to stop a disputed date from becoming an argument about every remaining obligation in the transaction.

Reconcile the opening account

Before the first invoice, reconcile the commencement date, prepaid amounts, partial periods and any agreed credits. The publicly filed Western Finance–Galilee lease illustrates how an individual agreement can distinguish acceptance and rent mechanics; its provisions are not a universal template. Keep the opening calculation with the acceptance evidence so later teams can reproduce it. Investors should review the resulting cash interval alongside the quoted rent. A slightly different nominal rental can produce a different mobilisation burden when the start condition changes. That burden belongs in the placement decision before the aircraft is committed.
